Terms and Agreements

Please read these Wristband Term of Use (“Terms” or “Agreement”) carefully, as they affect your future legal rights. These Terms apply to Rumble in the Sun (the “Event”).

 

1. DEFINITIONS AND INTERPRETATION

1.1 In these terms, the following definitions apply:

“Venue” means the relevant arena, hall, or stadium hosting the applicable event staged by Red Ground Productions, LLC.;

“Event” means any event promoted by Red Ground Productions LLC, or their affiliates, agents, subsidiaries, officers, and sub-contractors (together, “Red Ground”, “we” or “us”);

“Organizer” means Red Ground Productions LLC or any person organizing an event expressly approved by Red Ground in any part of the Venue;

“Person” includes individuals, unincorporated bodies, government entities, companies and corporations;

“Terms” means these terms and conditions;

“Ticket Agent” means a Person approved by Red Ground to sell tickets for an Event;

“Wristband” means a valid ticket, wristband, vehicle passes, backstage passes or other approved admission document giving the bearer the right to enter certain parts of the Venue and/or attend an Event;

“Wristband Holder” means any person with a valid ticket, wristband, vehicle passes, backstage passes or other approved admission document giving the bearer the right to enter certain parts of the Venue and/or attend an Event (a Wristband Holder may also be referred to as “you” or “User”);

NOTE THAT THESE TERMS AND CONDITIONS ARE IN ADDITION TO AND NOT IN PLACE OF ANY TERMS AND CONDITIONS OF ENTRY IMPOSED BY THE APPLICABLE ARENA.

 

These terms and conditions govern your admission and conduct in the Venue. By entering, or attempting to enter, the Venue, you agree to be bound by these Terms.

 

These Terms supersede any previous issued terms and conditions.

Ticket Agents and/or Organizers may have additional terms and conditions which apply to an Event and to which you agree to be bound. In the event of any inconsistency, these Terms will take priority.

Red Ground reserves the right to amend these Terms from time to time at its sole discretion. You are responsible for ensuring you have read and understood any Terms in force at the time of entering or attempting to enter the Venue.

All valid Wristbands are subject to these Terms. By accepting possession or by using any Wristbands, User agrees to all Terms and is legally bound to comply with these Terms. The original Authorized Purchaser (as defined below) and any Authorized Recipient (as defined below) agrees to inform all of their respective guests of these Terms with due diligence.

 

The Event Promoter reserves the right, at its discretion, to change, modify, add, or remove portions of these Terms at any time.

 

Please check back periodically for changes.

 

Wristbands evidence a revocable license to enter the Event property. Violation of these Terms may result in revocation of the license without prior notice.

 

All publicly sold Wristbands are for use by the original authorized purchaser and their invited guest(s) only (each an “Authorized Purchaser”), and are not transferable by the Authorized Purchaser, any of their invited guests, or any other person. Likewise, all Wristbands provided to performing athletes, artists, production personnel, vendors, sponsors, and other guests of the Event Organizer (each an “Authorized Recipient”), are for use by the Authorized Recipient and his or her invited guest(s) only, and are not transferable by the Authorized Recipient, his or her invited guest(s), or any other person. Authorized Purchasers and Authorized Recipients are also included in the definition of the term “User”. Wristbands cannot be exchanged or refunded after purchase other than in accordance with these Terms and the Ticket Agent’s terms. Wristbands obtained from unauthorized sources are counterfeit and are worthless. Please check your tickets carefully as mistakes cannot always be rectified.

 

Except as provided herein, Wristbands may not be sold, transferred, or used for any form of commercial or trade purposes, including but not limited to promotions, contests, competitions, commercial or advertising purposes, housing, hotels, vacation rentals, sweepstakes, charitable giveaways, or other activities absent the Event Organizer’s express prior written consent. No sponsorship, on site marketing, sampling, vending, coupon/product distribution, or other promotional activity may be conducted at the Event (inclusive of parking lots), absent the Event Organizer’s express prior written approval in each instance. Any Wristbands used in violation of this provision shall be deemed revoked and void, and their bearers deemed trespassers at the Event. Resale or attempted resale of Wristbands is grounds for termination of the license and cancellation of the Wristband. If we have grounds to believe that a Wristband has been re-sold or transferred for profit or commercial gain by any Person other than the Organizer has the right to refuse to admit the Wristband holder to the Venue or to eject the Wristband holder from the Venue without a refund or recourse. You must keep your Wristband with you at all times at an Event. Your Wristband may be invalidated if any part of it is removed, defaced or altered. Lost or stolen Wristband will not be replaced.

Organizer reserves the right, at its absolute discretion, to refuse admission to any person and/or to eject any person from the Venue if it considers that person’s behavior or conduct is causing, or is likely to cause (without limitation), damage; injury; nuisance; or distress to others: without a refund.

You must produce a valid Wristband to gain entry to the Venue and upon request for inspection. Failure to produce your Wristband on request may result in you being ejected from the Venue without a refund.

In order to ensure the Venue is a safe environment, we may search you, your clothing, bags or other items or ask to check/re-check that you hold a valid Wristband at any time at our sole discretion. Refusal or failure to co-operate in any search may result in you being refused entry or being ejected from the Venue without refund.

We reserve the right to prohibit certain items within the Venue from time to time. Prohibited items include (without limitation):

a) Food and beverage or containers for storing food or beverage;

b) Professional cameras, recording equipment and computer tablets;

c) Any items which are or may be illegal including, without limitation, weapons, fireworks, ammunition, drugs and other controlled substances;

d) Whistles, drums and other instruments;

e) Large umbrellas or other items which, in our opinion, may cause danger or disruption at an Event;

f) Items which a performing artist, their management or Organizer requests that we prohibit; and

g) Any other items which we believe may cause danger or disruption at an Event (regardless of whether or not they are illegal or carried for a specific purpose).

All prohibited items must be disposed of or surrendered before, or upon, entry to the Venue. Failure to surrender any prohibited items may result in you being refused entry or being ejected from the Venue without refund.

It is your responsibility to keep your personal possessions safe at all times while at the Venue. Neither Organizer nor the Venue shall be liable for the loss, damage or theft of any items.

With the exception of guide or assistance dogs, no animals are permitted in the Venue. Customers wishing to attend an Event with a guide or assistance dog are required to contact the Venue in advance of the Event for assistance.

The Event start times, bout running order and/or estimated duration advertised on tickets, promotional literature, websites and/or social media are approximate and subject to change. It is your responsibility to ensure you arrive at the Venue in sufficient time prior to the start of an Event. Failure to arrive on time may result in admission being delayed or refused, without refund. Every effort is made to admit latecomers in a suitable break at the Event, however, admission cannot be guaranteed in those circumstances, and is at Organizer’s discretion.

 

There is no re-admission once you have left the Venue except with the Organizer’s consent at its absolute discretion. This does not include leaving the seating or performance areas to use Venue facilities or to purchase food and beverages or merchandise at the Venue.

All attendees at the Venue consent to being filmed or recorded (images and sound) by or on behalf of Organizer or another authorized third party, and consent to their images (or likenesses) being used in any film, recording, photograph or other footage (“Recording”) of the Event. All rights in the Recording shall be owned by the Organizer, authorized third party or us absolutely. You agree that any Recording may be used by Organizer or authorized third party in any media and for any purpose throughout the world, including, without limitation, for promotional materials and activities, merchandise, and/or any other commercial activities. No payment or compensation for use of your image or likeness shall be payable to you.

By attending the Venue you consent to being filmed or recorded by the police or other security staff for the purpose of safety and monitoring at the Venue.

You grant the Organizer (and its designees) the right to include your image, likeness, actions, and statements in any live or recorded audio, video, film, webcast, stream, or other transmission, exhibition, simulcast, or reproduction made of, or at, the Event in any medium or context for any purpose, including commercial or promotional purposes, without further authorization or otherwise.

 

The Event Organizer owns the trademarks, imagery, name, likeness, and trade dress of the Event (collectively, the “Event Intellectual Property”) and generally does not permit the use of the Event Intellectual Property by third parties. User agrees not to make use of the Event Intellectual Property except for nominative fair use or with prior written permission from the Event Organizer. Nothing in this clause shall entitle any person to use, display, alter, copy or otherwise deal in any manner whatsoever with any of the Organizer’s intellectual property rights, including any and all Event Intellectual Property rights.

 

The Event Organizer retains all webcast/Internet rights to the Event. Any live streams or broadcasts, whether for Internet or otherwise, from the Event must be specifically agreed to in advance with the Event Organizer. No one may transmit, broadcast, or communicate any live audio or audiovisual images from the Event site without the Event Organizer’s prior written permission. As an example, this prohibition includes, but is not limited to, use of any service which broadcasts to the Internet. Even if User is an athlete, performer or sponsor, the broadcasting, displaying, or communicating of any live audio or audiovisual images (whether for personal, commercial, or other use) is expressly prohibited without the prior written permission of the Event Organizer. Without the express prior written permission of the Event Organizer, User may not bring any audio or video recording devices (except for personal cell phones) into the Event. User may bring personal, non-commercial, photography devices into the Event and may use these devices to obtain short-form video and still photographs (collectively “Personal Content”). By way of example, personal, non-commercial, photography and video devices include, but are not limited to, cell phones, small digital or film cameras (without a detachable lens). Without the express prior written permission of the Event Organizer, User may not bring any of the following devices into the Event: Any photography device which is designed for, or suitable for, any commercial purpose, selfie sticks, tripods, monopods, boom arms, any device which could be used to mount or hold a photography device or could be used to extend User’s reach. Event Organizer reserves the right, in its sole discretion, to prohibit any device it believes may be used in violation of these Terms, which it believes poses a safety risk, or which it believes may lessen the enjoyment of the Event by others. USER MAY NOT MAKE ANY COMMERCIAL USE OF ANY PERSONAL CONTENT WITHOUT THE PRIOR WRITTEN PERMISSION OF THE EVENT PRODUCER. Any recordings made in breach of these Terms may be seized or destroyed by Organizer without any compensation or payment to you.

 

By way of example, commercial use may include, but is not limited to, posting Personal Content on a website that sells a product, or displays any ads or sponsored links; using or causing Personal Content to appear in any publication, magazine, serial, or book; using Personal Content to sell, sponsor, or endorse a product; or using Personal Content on any website that is or appears to be affiliated or associated with, or sponsored by the Event or the Event Organizer. Event Organizer reserves the right to prohibit any use of Personal Content which it believes is in violation of the Terms. Event producer in its sole discretion may determine what constitutes a commercial use not permitted by the Terms. User may use Personal Content for User’s own direct, noncommercial, use. Examples of direct, noncommercial use include, but are not limited to, posting Personal Content on User’s own personal social media account (e.g., Facebook, TikTok, Instagram, or Twitter); posting Personal Content to personal website or personal content sharing site (e.g., Flikr or Photobucket) (unless the account, personal website or personal content sharing site is affiliated or associated with a commercial use); and sharing Personal Content with User’s personal friends or family (whether in electronic or physical media). Direct, noncommercial, use never involves posting of Personal Content on any website or server, or in any other media whether electronic or physical, which sells any product or service, or features or contains any advertisements or sponsored links, or which purports or appears in any way, to be an official or affiliated website of the Event or the Event Organizer Without the express prior written permission of the Event Organizer, User may not sell, transfer, license, sublicense, give or otherwise transfer any Personal Content or ownership therein. Without the express prior written permission of the Event Organizer, Personal Content that contains any nudity or partial nudity or footage of Event Artist performances may not be used for any purpose.

If your Wristband may correspond with a seat number, in all such cases it will only entitle you to a seat of a value corresponding to that stated on your Wristband. We reserve the right to provide an alternative seat to the one specified on your Wristband if it is not possible or desirable (due to operational or other reasons, and at our sole discretion) to allow you to occupy the seat specified on your Wristband. In the case of a designated seat Wristband, you are permitted to stand or dance within the designated seat space. However, please be respectful and mindful of other members of the audience.

Please note that other members of audience may stand in front of you and restrict your view. At times, your view may also be obstructed by a camera operator and or camera equipment or, in the event of an open air or stadium event, part of the canopy structure over the ring. No refunds will be offered in the event your view is restricted in those circumstances.

Please be aware that strobe, laser, flashing or other lighting effects may be used during an Event.

Organizer reserve the right to alter or vary the scheduled or advertised Event in the event of an unforeseen circumstance or the occurrence of any event or circumstance beyond its control (a “Force Majeure Event”). Organizer shall not be liable for any damages, and/or loss arising from any alterations or changes made.

If the Event is cancelled, postponed or materially altered, you may be entitled to a refund of your Wristband from the ticket agent you purchased the Wristbands from. Please see the ticket agent’s terms and conditions for more information. Any booking, service or administration fees charged by Organizer are non-refundable.

If an Event is postponed and re-scheduled, your original Wristband will entitle you to attend the postponed and re-scheduled Event. It is your responsibility to check the date and time of any postponed or re-scheduled Event.

If you suffer loss and damage as a direct result of our negligence, our liability to you will be limited to an amount equal to the face value of the Wristband purchased by you for the Event. Under no circumstances will our liability extend to costs or losses incurred in connection with the Event, (including cancellation, postponement or rescheduling of an Event); travel, accommodation or hospitality arrangements; loss of enjoyment or disappointment. Such expenditures are undertaken solely at the risk of the patron.

Organizer shall have no liability to you in the event the above loss or damage is caused by a “Force Majeure Event”, i.e., an event beyond Organizer’s or the Venue’s control including (without limitation) any act of God, war, insurrection, riot, civil disturbances, acts of terrorism, fire, flood, explosion, extreme weather conditions, medical emergency, theft of essential equipment, strike, lock out, malicious damage, or acts or regulations of national governments.

Nothing in these Terms excludes, or purports to exclude, our liability for death or personal injury caused by our negligence, nor from any other form of liability which cannot be excluded or limited in law.

If any part of these Terms are found by a Court, tribunal or other administrative body of competent jurisdiction to be unenforceable or invalid for any reason, that provision is to be severed from the Terms and the remaining provisions of the Terms will otherwise remain in full force.

No act, delay or omission by Organizer in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.

Organizer shall be entitled to assign any of its rights or obligations under these Terms.

These Terms will be governed by the law of the State of Florida. Disputes will be submitted to the exclusive jurisdiction of the Courts of Miami-Dade County, Florida.
